1. Service :
As described on www.absolutech.ca, the service(s) can vary between the following: social media management, lead generation, websites development, digital marketing, etc.
2. Payment :
The Client agrees to make monthly payment at the beginning of each month to receive the service from the Service Provider. Please note that once the Client subscribe to the service by paying through www.absolutech.ca, recurrent payment will be charged monthly to the Client. Taxes might be charged if applicable.
3. Payment Method :
The payment methods that are accepted for the service subscription are the following: Visa, Mastercard, American Express and Paypal.
4. Liability :
The Service Provider will provide the services to the Client on a best effort basis only. The Service Provider will not be liable for any issue related to the service and the Client agrees to hold the Service Provider entirely free from any liability, including financial responsibility for any activities related to the service.
5. Refund Policy :
The Client has a 14 day period to request a refund if not satisfied. Customer satisfaction is our highest priority and we believe that all our clients should be satisfied with the service they receive from us. 100% Satisfaction Guaranteed!
6. Termination :
The Client or the Service Provider can terminate the Service / subscription by sending a 30 day notice by written communication. Please note that there will be one last monthly payment from the Client after the notice is sent to cover the last month of the Service. In addition, the Service Provider may terminate this Agreement upon twenty-four (24) hours written notice in the event of a breach by the Client of any of its obligations hereunder.
7. Copyright and Ownership :
For any websites or landing page creation, as long as the Client pays the monthly subscription, the Client will have ownership and copyrights of the products performed by the Service Provider. However, if the subscription or Service terminates, the Client will no longer have access or ownership of the website(s) / landing page(s) created. The website(s) or landing page(s) won’t be transferable to the Client if the Service is terminated or refunded.
For any lead generation, social media management or digital marketing services, the Client will own any end-product or data generated by the Service Provider during any given paid month.
8. Applicable Law / Venue :
The Services and Terms of this Agreement shall be construed and governed by the laws of Ontario and the laws of Canada applicable therein. The Client and the Service Provider hereby irrevocably submit to the jurisdiction of any Court sitting in the Ontario and agree that no party shall seek removal or bring any such action or proceeding in any other Court.
9. Confidentiality :
The Client and the Service Provider will share ‘Confidential Information’ during their relationship to perform the Services. Confidential Information includes, but not limited to, information disclosed directly or indirectly, orally, visually or in writing, electronically or otherwise, relating to a) proprietary information, b) business, research, development, data, pricing, marketing plans, c) financial information, business information, technical information, intellectual property, d) marketing, sales, strategies or tactics.
The Client and the Service Provider agree to use good faith efforts and at least the same care that it uses to protect its own Confidential Information of like importance, to prevent unauthorized dissemination or disclosure of the Confidential Information both during and after the Subscription/Service is effective. Confidential Information shall be used only for the Services performed by the Service Provider.
The parties acknowledge that any breach of this section may cause irreparable harm to the disclosing party for which monetary damages alone may not be sufficient, and the disclosing party shall have the right to seek injunctive or other equitable relief in addition of any other remedies available to it at law or otherwise.
10. General :
In the event of any conflict between the terms and conditions and the service description as showed on www.absolutech.ca, the terms and conditions hereby shall govern.
The terms and conditions might change from time to time and the Service Provider shall send a written notice to the Client at least 45 days prior to the effective date of the new terms and conditions.
11. Survival :
Sections 4, 7, 8, 9 and 10 shall survive termination of the subscription / Service(s).
